VP, Corporate Counsel, Tax (Finance)
Prudential Financial is seeking a Vice President and Corporate Counsel to join the Tax Department located Newark, NJ, with product tax and information reporting experience. The Tax Department at Prudential provides legal advice and services to all company business groups and corporate functions. The successful candidate will work on a wide range of matters including the legal issues impacting our domestic insurance operations, as well as corporate center functions such as payroll, compensation and company benefits. The position requires a team player that is highly organized, responsive, a proven track record of managing professional staff, extremely flexible, has the ability to handle multiple projects while producing accurate and timely results and reports to a Vice President & Corporate Counsel in the Tax Department.
What you can expect:
• Advise all domestic insurance product development areas on the tax rules and implications of proposed products (e.g., individual life insurance, group life insurance, annuities, institutional investment products, etc.)
• Provide legal advice to all insurance operations and systems support functions as those areas process transactions and respond to internal and customer inquiries
• Provide legal advice to all marketing and advance marketing functions regarding the tax implications of various strategies and planning opportunities that utilize insurance products
• Review all Company product related materials that are visible to the public, such as insurance contracts, prospectuses, marketing materials, etc.
• Work closely with Business Unit Law Departments, as well as Compliance and Risk Management, to provide legal analysis and counsel relating to customer complaint cases and litigation
• Advise Corporate Centers on payroll and compensation related tax matters, including supporting deferred compensation arrangements, employee stock plans and other employee benefit programs
• Provide legal advice to all domestic and international operations on the reporting and withholding implications on payments made to any third parties.
• Keep management and other personnel up to date on pertinent legal, regulatory, legislative and industry developments
What you'll expect:
• Minimum of 8 years of tax experience in a private law firm and/or corporate in-house position handling insurance product tax matters, company benefits and the associated information reporting issues
• Working knowledge of the statutory definition of life insurance, modified endowment contract rules, the taxation of qualified and nonqualified annuities, Individual Retirement Accounts, payroll and company benefit programs
• JD degree from an accredited law school, be admitted to practice law in at least one state, and New Jersey In-House Counsel License, as applicable, within the required time
• LL.M. or MS in Taxation is a plus but not a requirement
• Possess exemplary leadership skills
• Strong analytical, practical problem-solving skills

• Strong collaboration skills and the capacity to work independently
• Courage and confidence to speak up, challenge and advocate for a point of view
• Able to interface with management across multiple businesses confidently and professionally, manage time effectively and provide actionable, solutions-oriented advice to all levels of the business

• Exhibit sound judgment and the ability to comfortably make clear, rational and timely decisions in the best interests of Prudential consistent with available facts and applicable laws and regulations
What we offer you:
Prudential is required by state specific laws to include the salary range for this role when hiring a resident in applicable locations. The salary range for this role is from $216,000.00 to $292,200.00. Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills.
Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, whereby an award, if any, depends on various factors including, without limitation, individual and organizational performance.
